FULL TRADING AUTHORIZATION & INDEMNIFICATION
AND MANAGEMENT FEE ACKNOWLEDGEMENT

 To allow someone other than the registered owner(s)/club member(s) of the account to have full trading authority, please complete Sections 1 and 2 and read Sections 3-9. Please print the name(s) of the authorized agent(s) in Section 8. The registered owner(s)/club member(s) of the account listed in Section 1 must sign in Section 9.

This Trading Authorization applies to all securities held in the brokerage account listed:

3.       APPLICABLE ACCOUNT

This Authorization to purchase or sell securities and other products shall be applicable to all assets the Registered owner/Club member holds in the account above in the name of the registered owner/club member on the books of the Account above.

4.        EFFECT OF THIS POWER

The authorized agent may inquire in a trade in the registered owner’s/club member’s account as specified in Section 3. This trading authorization permits the disbursement of funds from the registered owner’s/club member’s account, provided the disbursement is made to the registered owner/club member or to a pre-authorized bank account. The authorized agent may act in the same manner and with the same force and effect as the registered owner/club member might or could do.  The registered owner/club member permits the authorized agent to engage in options transactions, and understands that options may be traded with a greater degree of frequency than stocks or bonds due to their short-term nature.  The registered owner/club member understands that a commission will be charged to the account each time a trade is effected.

5.        DURATION OF AUTHORIZATION AND APPLICABLE LAW

This trading authorization is a continuing one and shall remain in full force and effect until the authorized agent is notified in writing of death, disability, or unless revoked through written notice delivered to the authorized agent.  Furthermore, it is understood this trading authorization and  indemnity is in addition to and in no way restricts any rights which may exist at law or under any other agreement(s) between the registered owner/club member and the authorized agent.

6.       RISK

It is understood that the total return, like stock prices generally, will fluctuate within a wide range, so that an investor or registered owner(s)/club member(s) could lose money over short or even long periods. Thus, the authorized agent will not be held liable for such losses.

7.       FEE

The authorized agent charges an annual fee of three percent (3%) of the total value of the registered owner’s/club member’s account.

8.        CLUB AUTHORIZATION

I (we) am (are) the registered owner(s)/club member(s) (as named in Section 1) of the account listed in Section 2 and hereby authorized the following individual(s) as my (our) agent and attorney in fact (the “authorized agent”) to buy, sell (including short sales), exchange, convert, tender, redeem, and withdraw assets (including delivery of securities from the account) and to trade, or otherwise (including the purchase and/or sale of option contracts) for and at the risk of the registered owner’s account on the books identified above. All orders and transactions will be governed by the terms and conditions of all other account agreements applicable to the account of the registered owner(s)/club member(s).  The authorized agent may open new option positions or close  existing positions, and exercise option contracts or sell options contracts as either a covered or uncovered writer.  The registered owner(s)/club member(s) recognizes the inherent risks involved and is fully prepared financially to undertake such risks.  This authorization permits the withdrawal of assets from the registered owner’s/club member’s account (see Section 5).

 9.        SIGNATURE OF REGISTERED OWNER(S)/CLUB MEMBER(S)

It is understood and agreed that this Trading Authorization gives someone other than the registered owner Authorization to trade in the account and to perform such functions as described herein.

 I (We) hereby acknowledge that I (we) have received, read, understood and agreed to the terms and conditions set forth in Sections 1-7 of this trading authorization.
